Welcome to NextSpot! These Terms and Conditions ("Terms") govern your use of the NextSpot iOS application ("NextSpot" or "the App"). By downloading, accessing, or using NextSpot, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the App.

1. Acceptance of Terms

By accessing or using NextSpot, you agree to these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you must discontinue use of the App immediately.

NextSpot allows users to discover, plan, and share events. You agree to use the App in accordance with all applicable laws and regulations. You further agree not to:

• Use the App for any illegal or unauthorized purpose
• Post, share, or distribute any harmful, abusive, or inappropriate content
• Access the App through unauthorized means (e.g., using a bot, crawler, or scraper)
• Interfere with or disrupt the App, servers, or networks connected to the App

We reserve the right to suspend or terminate your access to the App if you violate these Terms.

5. User-Generated Content

You may submit or share user-generated content such as saved events, plans, or itineraries. By submitting content to the App, you grant NextSpot a non-exclusive, royalty-free, worldwide license to use, display, reproduce, and distribute your content within the App. You retain ownership of your content, but you are solely responsible for its accuracy and legality.

We do not monitor all user content but reserve the right to remove any content that violates these Terms or is deemed inappropriate.

6. Event Listings and Accuracy

While we strive to provide accurate and up-to-date event information, NextSpot does not guarantee the accuracy, completeness, or reliability of any event listings or content displayed in the App. Event details such as times, locations, and availability may change without notice. It is your responsibility to verify event details before attending.

7. Third-Party Links and Services

NextSpot may contain links to third-party websites or services that are not owned or controlled by us. We are not responsible for the content, privacy policies, or practices of any third-party websites or services. By using the App, you acknowledge and agree that NextSpot is not liable for any damages or losses arising from your use of third-party websites or services.

8. Intellectual Property

All intellectual property rights in the App, including but not limited to its design, features, and content, are owned by NextSpot or our licensors. You may not copy, modify, distribute, sell, or lease any part of the App or its content without our prior written consent.

9. Disclaimers

NextSpot is provided on an "as-is" and "as-available" basis, without warranties of any kind, either express or implied. To the fullest extent permitted by law, we disclaim all warranties, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that the App will be uninterrupted, error-free, or secure, nor do we guarantee the accuracy of any content or information provided in the App.

10. Limitation of Liability

To the fullest extent permitted by law, NextSpot and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the App. Our total liability to you for any claim arising from or related to these Terms or the App will not exceed the amount paid by you, if any, to use the App.

11. Indemnification

You agree to indemnify, defend, and hold harmless NextSpot, its affiliates, and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including attorney's fees) arising out of or related to your use of the App, your violation of these Terms, or your violation of any rights of another.

12. Termination

We reserve the right to terminate or suspend your access to the App at our sole discretion, without notice or liability, for any reason, including if we believe you have violated these Terms. Upon termination, your right to use the App will immediately cease.

13. Changes to These Terms

We may update these Terms from time to time. If we make significant changes, we will notify you by posting the updated Terms in the App or by other means. Your continued use of the App after the changes become effective will constitute your acceptance of the revised Terms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the state of New York, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or the App shall be resolved in the courts located in New York, New York.
